She had found a video on YouTube that seemed to relax our twins, which is no small feat. She put it on so I could see the effect. Soft music began to play, a butterfly gently fluttered through a field, and sure enough, the babies calmed down.</p>
<p>Then sunflowers sprouted the heads of infants&#8230;WHAT?!? Daddy was officially freaked-out, but it only got worse from there. Share my nightmare and watch below&#8230;</p>

I’m checking it out right now (watching Stargate SG-1 Season Eight, Episode 2: New Order: Part 2…that was a mouthful) and the playback quality is good, despite the Wii’s inherent lack of HD. It’s a little late in the game to get overly excited about another device streaming Amazon Instant Video (especially since I already have a PS3 &amp; XBOX 360), but since I already have a Wii in the bedroom, it’s a nice addition.</p>

<p style="text-align: left;">Once counted among the Jaguar&#8217;s cancelled/lost games, <em>Another World </em>(known as <em>Out of the World</em> here in the states), it&#8217;s been announced that it&#8217;s now available for pre-order from the Retro-Gaming Connection (RGC), a French gaming enthusiast group that has previously published several titles for the Lynx, Atari ST and Jaguar CD. Ported to the Jaguar by Sebastien Briais of the group Removers of Jagware, this adaptation has the bless of original creator Eric Chahi.</p>
<p>This is an official release in every way possible, as the game will be released in Jaguar cartridge format with box and manual. The game will be offered as a pre-order only for 60 Euros (currently just under US $80), shipping included (62 Euros if paying via PayPal). Once pre-ordered, you&#8217;ll get a numbered confirmation via e-mail (your payment is guaranteed) with the game slated for a spring 2013 release.</p>

Lucasfilm is 100% owned by Lucasfilm Chairman and Founder, George Lucas.</p>
<p>Under the terms of the agreement and based on the closing price of Disney stock on October 26, 2012, the transaction value is $4.05 billion, with Disney paying approximately half of the consideration in cash and issuing approximately 40 million shares at closing. The final consideration will be subject to customary post-closing balance sheet adjustments.</p>

<p>Under the deal, Disney will acquire ownership of Lucasfilm, a leader in entertainment, innovation and technology, including its massively popular and &#8220;evergreen&#8221; <em>Star Wars</em>franchise and its operating businesses in live action film production, consumer products, animation, visual effects, and audio post production. Disney will also acquire the substantial portfolio of cutting-edge entertainment technologies that have kept audiences enthralled for many years. Lucasfilm, headquartered in San Francisco, operates under the names Lucasfilm Ltd., LucasArts, Industrial Light &amp; Magic, and Skywalker Sound, and the present intent is for Lucasfilm employees to remain in their current locations.</p>
<p>Kathleen Kennedy, current Co-Chairman of Lucasfilm, will become President of Lucasfilm, reporting to Walt Disney Studios Chairman Alan Horn. Additionally she will serve as the brand manager for <em>Star Wars</em>, working directly with Disney&#8217;s global lines of business to build, further integrate, and maximize the value of this global franchise. Ms. Kennedy will serve as executive producer on new <em>Star Wars </em>feature films, with George Lucas serving as creative consultant. <em>Star Wars</em> <em>Episode 7</em> is targeted for release in 2015, with more feature films expected to continue the <em>Star Wars</em> saga and grow the franchise well into the future.</p>

<p>As we just announced, The Walt Disney Company has agreed to acquire Lucasfilm and its world class portfolio of creative content – including the legendary <em>Star Wars </em>franchise – along with all of its operating businesses, including Industrial Light &amp; Magic and Skywalker Sound.</p>
<p>George Lucas is a visionary, an innovator and an epic storyteller – and he&#8217;s built a company at the intersection of entertainment and technology to bring some of the world&#8217;s most unforgettable characters and stories to screens across the galaxy. He&#8217;s entertained, inspired, and defined filmmaking for almost four decades and we&#8217;re incredibly honored that he has entrusted the future of that legacy to Disney.</p>
<p>Disney has had a great relationship with George that goes back a long way – with <em>Star Wars</em> theme attractions in our parks in Anaheim, Orlando, Paris and Tokyo. <p>Lucasfilm, and more specifically the <em>Star Wars</em> franchise, fits perfectly within the Disney portfolio of intellectual properties and the strategic and financial implications of this acquisition are compelling. Our team has spent a tremendous amount of time evaluating this deal and we have concluded we are uniquely positioned to maximize the value of Lucasfilm&#8217;s IP in a manner that can generate substantial value for our shareholders above and beyond the purchase price.</p>
<p>In this transaction we will acquire rights to the <em>Star Wars</em> and <em>Indiana Jones </em>franchises, a highly talented and expert team, Lucasfilm&#8217;s best-in-class post production businesses, Industrial Light and Magic and Skywalker Sound, and a suite of cutting edge entertainment technologies. <p>There are a number of ways our company will derive value from Lucasfilm&#8217;s intellectual property—some of which can be realized immediately while others will accrue to us over time. George and his team have built <em>Star Wars</em> into one of the most successful and enduring family entertainment franchises in history, as well as one of the best selling licensed character merchandise brands in the U.S. and around the world. However, we believe there is great opportunity to further expand the consumer products business. Today, <em>Star Wars</em> is heavily skewed toward toys and North America. We see great opportunity domestically to extend the breadth and depth of the <em>Star Wars</em> franchise into other categories. We also plan to leverage Disney&#8217;s global consumer products organization to grow the <em>Star Wars</em> consumer products business internationally.</p>
<p>Let me note that in 2012 Lucasfilm&#8217;s consumer products business is expected to generate total licensing revenue that is comparable to the roughly $215 million in consumer products revenue Marvel generated in 2009, the year in which we announced our acquisition. With renewed film releases, and the support we can give the <em>Star Wars</em>property on our Disney-branded TV channels, we expect that business to grow substantially and profitably for many years to come.</p>
<p>We also expect to create significant value in the film business. We plan to release the first new <em>Star Wars</em> film in<strong> </strong>2015, and then plan to release one film every two to three years. These films will be released and distributed as part of our target slate of 8-10 live-action films per year, and will augment Disney&#8217;s already strong creative pipeline for many years to come. Lucasfilm has not released a <em>Star Wars</em> film since <em>Revenge of the Sith</em> in 2005. However, adjusted for inflation, as well as growth in both international box office and 3D, we estimate the three most recent <em>Star Wars</em> films would have averaged about $1.5 billion in global box office in today&#8217;s dollars. This speaks to the franchise&#8217;s strength, global appeal and the great opportunity we have in the film business.</p>
<p>We also expect to utilize <em>Star Wars</em> in other businesses including Parks &amp; Resorts, in games and in our television business. These initiatives were also considered in our valuation.</p>
<p>Under the terms of the agreement, Disney will buy Lucasfilm for $4.05 billion, consisting of approximately fifty percent cash and fifty percent in Disney stock. Based on Friday&#8217;s closing price of Disney stock, we expect to issue approximately 40 million Disney shares in this transaction. We continue to believe our shares are attractively priced at current levels and therefore, we currently intend to repurchase all of the shares issued within the next two years&#8211; and that&#8217;s in addition to what we planned to repurchase in the absence of the transaction.</p>
<p>Our valuation of Lucasfilm is roughly comparable to the value we placed on Marvel when we announced that acquisition in 2009. Our Lucasfilm valuation is almost entirely driven by the <em>Star Wars</em> franchise, so any success from other franchises would provide upside to our base case. I realize it may be a challenge for you to quantify our opportunity given the limited amount of publicly available information. But to give you some perspective on the size of the Lucasfilm business&#8211; in 2005, the year in which the most recent <em>Star Wars</em> film was released, Lucasfilm generated $550 million in operating income. We&#8217;ve taken a conservative approach in our valuation assumptions, including continued erosion of the home entertainment market, and we expect this acquisition to create value for our shareholders.</p>
<p>In terms of the impact on our financials, we expect the acquisition to be dilutive to our EPS by low single digit percentage points in fiscal 2013 and 2014 and become accretive to EPS in 2015.</p>
<p>Our capital allocation philosophy has been consistent since Bob took over as CEO. In addition to returning capital to shareholders, we have invested, both organically and through acquisitions, in high quality, branded content that can be seamlessly leveraged across our businesses. Our acquisition of Lucasfilm is entirely consistent with this strategy, and we&#8217;re incredibly excited by the prospect of building on Lucasfilm&#8217;s successful legacy to create significant value for our shareholders.</p>

				<content:encoded><![CDATA[<p><a href="http://karyyk.com/wp-content/uploads/2012/10/im237.jpg"><img class="alignleft size-thumbnail wp-image-924" title="im237" src="http://karyyk.com/wp-content/uploads/2012/10/im237-150x150.jpg" alt="" width="150" height="150" /></a>Iron Man has had many different looks and iterations over the years, but my favorite has to be the Classic II armor. It has a lot of names, and to be honest, I&#8217;m not sure which is the official one: Classic II, Modern Red and Gold, Oversize Red &amp; Gold (seemed pretty streamlined to me at the time), etc. Whatever it&#8217;s called, this was the armor I always think of when I think of Iron Man.</p>
<p>You see, my first Iron Man comic was issue #237, an underappreciated gem if ever there was one. Basically Tony goes up to check out a government space station in exchange for a clean slate with the feds after the Armor Wars. When he arrives, he finds the aftermath of a massacre, complete with zero G blood and a bona fide murder mystery. Of course, that mystery doesn&#8217;t last for much more than a few panels, as Iron Man quickly finds the culprit, a genetically-engineered monstrosity referred to as a &#8220;satellite killer&#8221; (or &#8216;Star Hunter,&#8217; as the issue is titled), complete with adamantium claws and protective sheaths. Needless to say, this proves quite the challenge for old Shellhead, as even his most advanced weaponry (such as his new pulse bolts, relatively slow concussive blasts that pick up energy as they go, becoming more powerful with distance&#8230;I&#8217;d love to see these make an appearance in Iron Man 3) proves ineffective. Adding insult to injury, the beast has taken the Stark Space Station (which had been recently sabotaged by A.I.M. as its lair, much to Shellhead&#8217;s chagrin. To make a not-so-long story even shorter, Iron Man basically ends up having to activate the environmental systems on the station, which activates the A.I.M. virus (it&#8217;s referred to as anaerobic in the comic, but if the introduction of oxygen/nitrogen atmosphere revives it, wouldn&#8217;t it be aerobic?), effectively infecting and ultimately killing the beast. As atmosphere is restored, Tony realizes that the beast, which is intelligent, speaks. He asks why it had killed the people, only for it to respond that it was its job&#8230;basically that it was programmed to do what it had done. It was not evil, those who had designed it to be what it was were. The issue ends with Tony pondering upon this while repairing his space module/booster (which the beast had destroyed early-on to prevent his escape).</p>
<p>It was truly a great issue. Iron Man/Tony Stark had beaten his alcoholism. He had rebuilt his company. He had won the Armor Wars. He had rededicated himself to creation, to his work. This was a thinking man&#8217;s Iron Man, a Tony Stark that thought more about his company, employees and world than he did himself (in stark contrast to the character we&#8217;ve been seeing lately, no pun intended). This was during the second Iron Man run for David Michelinie and Bob Layton, a time where they further defined, and really, established, who and what Iron Man/Tony Stark should (or at least, could) be. This was Iron Man at his best and I&#8217;m glad that&#8217;s when I &#8220;discovered&#8221; that Iron Man was *MY* superhero (at a time when his popularity wasn&#8217;t exactly where it is today).</p>
<p>Iron Man #237 came out in December of 1988. That would make me 10 years old at the time. I remember seeing the cover art and just being drawn to it, the star hunter ripping through the space station, pulling Iron Man in. I had to get it, and fortunately, my father complied (he had been an Iron Man himself, 20 years earlier). 75 measly cents and a little curiosity on my part opened up a world of possibilities, thanks to the availability of a comic rack at a local Piggly Wiggly in a rural South Carolina town (Saluda) that most people in South Carolina have never heard of, much less elsewhere. If the comic industry wants to blame flagging sales, maybe it should point a finger at its own distribution methods. I know kids today have more diversions, comics have more competition, but I just have to think that a striking cover and a good story will still draw them in. I haven&#8217;t seen a comic for sale in a grocery story in a decade, and that&#8217;s a problem. Comics distribution has become too specialized, aiming at a niche market (preaching to the choir, basically). To buy a comic, you basically have to go to the comic shop, you have to make a special trip. Those who have discovered that world will do it, but you won&#8217;t be getting any new customers that way. It&#8217;s a shame, because it&#8217;s a hobby I plan on sharing with my children (3 girls&#8230;yes, girls can be into comics). I only hope that the hobby as I know it is still around for them to discover and explore.</p>

There&#8217;s not much to it really, just two, real-life suits (got to love practical special effects) on set.</p>
<p>While it&#8217;s not the sizzle reel that was shown at ComicCon, this will have to hold me over until I&#8217;m able to see Ben Kingsley&#8217;s Mandarin, which actually has me more stoked for this film than even this set pic.</p>
<p>Iron Man 3 will hit theaters on May 3, 2013.</p>

<p>MXPX ALL STARS TO TOUR THE U.S. FOR THE FIRST TIME</p>
<p>Dates With Pennywise and Unwritten Law</p>
<p>Los Angeles, CA, August 8, 2012 &#8211; After two trips to Europe, a stint in Asia, and performances in Australia, Mexico and Japan, it&#8217;s time for MXPX ALL STARS to announce their first U.S. tour. Up first are four dates with Pennywise, kicking off on October 25 in Fort Lauderdale, FL, and ending on October 28 in Atlanta, GA. After, MXPX ALL STARS will co-headline some East Coast dates with Unwritten Law, starting on October 29 in Columbia, SC. For a full list of tour dates, please see below.</p>
<p>In 2010 the ALL STAR version of Bremerton, WA&#8217;s infamous pop-punk trio, MxPx, originated as an outlet for frontman and bassist Mike Herrera to still tour while guitarist Tom Wisniewski and drummer Yuri Ruley took time off. After the success of 2010&#8242;s Japan and Asia shows and 2011&#8242;s Soundwave Festival dates throughout Australia, featuring Ataris frontman Kris Roe on guitar and Chris Wilson of The Summer Obsession on drums, Herrera decided to keep the momentum going and the impromptu performances alive by shaking up the line-up a bit.</p>
<p>Recently, MXPX ALL STARS did two European runs with Switzerland-based trio Cancer as backing band. This time around, the line-up will feature Herrera along with Jose Garzon of FLF on guitar, Jack Parker of Tumbledown on guitar and Harley Trotland of Tumbledown on drums.</p>
<p>The band is touring in support of MxPx&#8217;s 20th anniversary and the release of their ninth full-length album, Plans Within Plans (MRI/Rock City Recording Company).</p>
<p>Staying true to both themselves and their sound, MxPx have remained one of pop-punk&#8217;s most well-respected names for two decades. Fans will definitely be given the chance to reminisce with the band through a set list of both old and new tracks through the years.</p>
